Character.ai seeks Disney sale after bankruptcy filing

· Character.ai Files for Bankruptcy

Character.ai filed for Chapter 11 bankruptcy protection and said it is pursuing a sale of its assets to Disney, according to a report by Robert Hart on The Verge published Oct 13 2026.

Character.ai is a generative‑AI chatbot service that lets users create and converse with customizable characters. It was built by former Google LaMDA developers Noam Shazeer and Daniel de Freitas, opened a public beta on September 16 2022 and released a mobile app in May 2023 that recorded over 1.7 million downloads in its first week. Disney later hired Character.ai’s former CEO Karandeep Anand as chief technology officer and said it expected a number of the technical team to join Disney. In its bankruptcy filing Character.ai listed estimated liabilities between $50 million and $100 million. Disney emerged as the lead bidder, offering $20 million for undisclosed assets, transition support that would use former Character.ai employees it has hired, and a non‑exclusive license to unspecified intellectual property. Character.ai said it expects the sale process to finish by late November or early December and will keep its services — including paid subscriptions — running in the meantime, but warned that the platform will be wound down if a suitable bid does not appear.

This information gap discourages rival offers, reinforcing the lead bidder’s position. The same incentive and information structure can appear in any sector where a firm depends on scarce specialist talent and faces costly regulatory or litigation risks, leading to a pattern where the acquirer gains skilled staff at low cost while the original entity is left with depleted operations and unresolved obligations.

The sharpest unresolved question is whether Disney will complete the acquisition and, if so, what will become of the service’s users, its subscription revenue and any remaining technology if no alternative bid emerges.
